Please read these terms carefully before purchasing or using NovaEditor.

Last updated: May 2025

These Terms of Service ("Terms") govern your use of NovaEditor software ("the Software") and the associated website operated by studiomob.ca ("we", "us", "our"). By downloading, installing, or using NovaEditor, you agree to be bound by these Terms.

1. License Grant

Upon purchasing a valid license, studiomob.ca grants you a personal, non-exclusive, non-transferable license to install and use NovaEditor on computers owned or controlled by you.

  • You may install NovaEditor on multiple personal computers using a single license, provided it is for your own personal use.
  • You may not sell, sublicense, rent, lease, or redistribute the Software or your license to any third party.
  • The Demo version may be used freely and indefinitely within its stated limitations (5 patch operations; no Backup/Restore).

2. Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of NovaEditor
  • Modify, adapt, translate, or create derivative works based on the Software
  • Remove or alter any proprietary notices, labels, or marks on the Software
  • Use the Software for any illegal purpose or in violation of any applicable law
  • Circumvent, disable, or attempt to bypass the license validation or demo operation counter
  • Share your serial number publicly or make it available to others

3. License Activation & Deactivation

Each license purchase entitles you to one active installation at a time. To move your license to a new computer, deactivate it on the current machine first using the Activation window, then activate on the new machine.

We reserve the right to revoke a license without refund if we determine that it has been shared, used fraudulently, or deployed in violation of these Terms.

4. Updates

Your license includes all updates within the current major version (1.x) at no additional cost. We reserve the right to charge for major version upgrades. You will always be notified of any change in upgrade pricing prior to release.

Updates are provided at our discretion. We make no guarantee of any specific feature being delivered or timeline for updates.

5. Intellectual Property

NovaEditor and all associated intellectual property — including but not limited to code, design, documentation, and brand assets — are owned by studiomob.ca and protected by copyright and other applicable laws.

Nothing in these Terms transfers ownership of the Software to you. You are granted a license to use the Software, not title to it.

NovaEditor is an independent product and is not affiliated with, endorsed by, or sponsored by Novation Music or its parent company Focusrite plc. "MiniNova" is a trademark of Novation Music.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or compatible with any specific hardware or software configuration. Use of the Software with your MIDI hardware is at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STUDIOMOB.CA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PATCHES OR PRESETS, OR DAMAGE TO HARDWARE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

Our total liability to you for any claim arising from these Terms or your use of the Software shall not exceed the amount paid for your license.

8. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law provisions. Any disputes shall be resolved in the courts of Quebec, Canada.
